KM Software Services reserves the right to refuse, suspend, or discontinue services where necessary, including but not limited to non-payment, misuse, or violation of these Terms.

4. Orders, Payments, and Billing

4.1 Payment Terms

  • Projects may require an advance deposit before commencement.
  • Milestone-based or installment payments may apply depending on the project scope.
  • Full payment is required before final handover unless otherwise agreed in writing.

4.2 Payment Methods

Payments may be accepted through authorized third-party payment providers, including:

  • FPX
  • Stripe
  • PayPal
  • Airwallex
  • Billplz
  • SenangPay
  • Bank Transfers
  • Other approved payment providers

KM Software Services does not store complete credit card or banking information.

4.3 Taxes

Clients are responsible for any applicable taxes, duties, or transaction fees imposed by their jurisdiction or payment provider.

5. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information.
  • Respond to requests for approvals and feedback promptly.
  • Ensure ownership or licensing rights for all materials supplied.
  • Cooperate throughout the project lifecycle.

Any delays caused by incomplete information, delayed approvals, or failure to communicate may affect delivery timelines and shall not constitute a breach by KM Software Services.

6. Intellectual Property

Client Ownership

Upon receipt of full payment, ownership of final deliverables shall transfer to the client unless otherwise specified.

The following shall remain the exclusive property of KM Software Services:

  • Internal frameworks
  • Proprietary code libraries
  • Templates
  • Development methodologies
  • Proprietary software products
  • Trademarks and branding assets

Portfolio Rights

Unless otherwise agreed in writing, KM Software Services reserves the right to showcase completed projects in its portfolio and marketing materials.

7. Third-Party Services and Integrations

Our products and services may integrate with third-party platforms, including:

  • TikTok
  • Meta (Facebook & Instagram)
  • WhatsApp Business API
  • Google Services
  • Stripe
  • PayPal
  • Airwallex
  • Cloud Hosting Providers
  • Analytics Platforms

KM Software Services is not responsible for service interruptions, changes in policies, pricing adjustments, or outages caused by third-party providers.

Users acknowledge that their use of third-party services is subject to the respective provider’s terms, conditions, and privacy policies.

8. Privacy and Confidentiality

KM Software Services is committed to protecting client and user information.

Both parties agree to maintain the confidentiality of all proprietary, technical, financial, and business information exchanged during the course of an engagement, except where disclosure is required by law.

9. Warranties and Disclaimer

KM Software Services provides its services on an “as available” and “as is” basis.

While we strive to maintain high standards of quality and reliability, we do not warrant that:

  • Services will be uninterrupted.
  • Software will be entirely error-free.
  • Third-party services will remain continuously available.
  • All defects can be resolved immediately.

10. Limitation of Liability

To the fullest extent permitted by law, KM Software Services shall not be liable for:

  • Indirect damages
  • Loss of profits
  • Loss of business opportunities
  • Data loss
  • Service interruptions
  • Third-party failures

Our maximum liability for any claim shall not exceed the total amount paid by the client for the relevant service.

11. Suspension and Termination

KM Software Services reserves the right to suspend or terminate services without prior notice in cases involving:

  • Non-payment
  • Fraudulent activity
  • Abuse toward staff
  • Illegal use of services
  • Violation of these Terms

Any outstanding payments shall remain due and payable.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Malaysia.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. Amendments

KM Software Services reserves the right to update or modify these Terms at any time.

Updated versions will be published on our website, and continued use of our services constitutes acceptance of any revised Terms.
